Terms of Service
The agreement governing your use of the GGHealth platform.

1.Acceptance of Terms
By accessing or using the GGHealth platform ("Service"), operated by Gift of Gab Tech Inc. ("GGHealth," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Gift of Gab Tech Inc. The Service is intended exclusively for use by licensed healthcare professionals in Ontario, Canada.
2.Service Description
GGHealth is a healthcare intelligence platform that provides:
- AI-powered call transcription and summarisation for healthcare communications
- Encrypted patient record management with field-level AES-256-GCM encryption
- Role-based access control and circle-of-care enforcement
- Consent and lockbox management for patient privacy preferences
- Tamper-evident audit logging for all data access
- Breach detection and notification capabilities
- Patient portal for secure access to health records
The Service is designed to assist healthcare professionals with administrative and documentation tasks. It is not a medical device and does not provide clinical decision support, diagnoses, or treatment recommendations.
3.Eligibility and Registration
To use the Service, you must:
- Be a licensed healthcare professional in Ontario, Canada (physician, midwife, pharmacist, nurse, or allied health professional) or be employed by a licensed healthcare practice
- Provide accurate and complete registration information, including your professional licence number
- Maintain the security of your account credentials
- Be at least 18 years of age
We reserve the right to verify your professional credentials and to refuse or terminate service if your licence is revoked, suspended, or cannot be verified.
4.Account Responsibilities
You are responsible for:
- Account security: Maintaining the confidentiality of your login credentials and completing multi-factor authentication setup. You are responsible for all activity that occurs under your account.
- Accurate information: Ensuring that all information you provide, including patient records, is accurate and up to date.
- Compliance: Using the Service in compliance with PHIPA, PIPEDA, and all applicable laws, regulations, and professional standards.
- Authorised users: Ensuring that only authorised individuals within your practice access the platform using their own individual accounts. Account sharing is prohibited.
- Notification: Immediately notifying us at security@giftofgab.ai if you suspect any unauthorised access to your account.
5.Acceptable Use
You agree to use the Service only for lawful healthcare purposes. You must not:
- Access or attempt to access patient information outside your circle of care
- Share, sell, or otherwise disclose personal health information except as permitted by PHIPA
- Use the Service to discriminate against patients or deny care
- Attempt to circumvent, disable, or interfere with security features, including encryption, access controls, audit logging, or consent management
- Upload malicious code, viruses, or any harmful material
- Use automated tools to scrape, harvest, or extract data from the Service
- Reverse engineer, decompile, or disassemble any portion of the Service
- Use the Service in any way that could damage, disable, or impair the platform
- Sublicence, resell, or redistribute access to the Service without written authorisation
6.Healthcare Disclaimer
Important Healthcare Notice
GGHealth is an administrative and documentation tool for healthcare professionals. It is not a substitute for professional medical judgement, clinical decision-making, or the standard of care.
- AI-generated call summaries and transcriptions are provided as documentation aids. Healthcare professionals are responsible for reviewing and verifying all generated content before incorporating it into clinical records.
- The Service does not diagnose conditions, recommend treatments, or provide clinical decision support.
- Healthcare professionals retain full responsibility for clinical decisions, patient care, and the accuracy of clinical documentation.
- The Service does not replace the provider-patient relationship or the professional duty of care.
7.Data Ownership and Privacy
Your data remains yours. Healthcare providers retain ownership of all patient data and clinical records created through the Service. GGHealth acts as a data processor on your behalf.
- All personal health information is processed in accordance with our Privacy Policy and applicable privacy legislation.
- We will not access your patient data except as necessary to provide the Service, or as directed by you, or as required by law.
- Upon termination, you may request export of all your data. See Section 12 for details.
8.Intellectual Property
The GGHealth platform, including its software, design, features, documentation, and branding, is the intellectual property of Gift of Gab Tech Inc. and is protected by Canadian and international copyright, trademark, and patent laws.
- We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service during your subscription period.
- You may not copy, modify, distribute, or create derivative works of the platform or any of its components.
- Clinical data, patient records, and documentation you create through the Service remain your intellectual property.
- "GGHealth," the GGHealth logo, and "Gift of Gab" are trademarks of Gift of Gab Tech Inc.
9.Service Availability
We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide advance notice when possible)
- Unplanned outages or infrastructure issues
- Force majeure events beyond our reasonable control
We will use commercially reasonable efforts to resolve outages promptly and to communicate status updates during service disruptions.
10.Limitation of Liability
To the maximum extent permitted by applicable law:
- GGHealth is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
- We do not warrant that the Service will be error-free, uninterrupted, or free of harmful components.
- In no event shall Gift of Gab Tech Inc., its directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service.
- Our total aggregate liability for all claims arising out of or related to these Terms shall not exceed the total fees paid by you to GGHealth in the twelve (12) months preceding the claim.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
11.Indemnification
You agree to indemnify and hold harmless Gift of Gab Tech Inc., its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service in violation of these Terms
- Your violation of any applicable law, regulation, or professional standard
- Any claim that your use of the Service infringed the rights of a third party
- Inaccurate or misleading information provided by you through the Service
12.Termination
By you: You may terminate your account at any time by providing 30 days' written notice to hello@gghealth.ca. Upon termination, you may request a full export of your data in a portable format.
By us: We may suspend or terminate your account if:
- You breach these Terms or our Acceptable Use Policy
- Your professional licence is revoked or suspended
- We are required to do so by law or regulation
- Your account has been inactive for an extended period
Effect of termination: Upon termination, your access to the Service will cease. We will retain your data for the period required by applicable healthcare record retention laws, after which it will be securely destroyed. You may request data export within 90 days of termination.
13.Modifications to Terms
We may update these Terms from time to time. When we make material changes, we will:
- Notify you through the platform at least 30 days before changes take effect
- Update the "Last updated" date at the top of this page
- Provide a summary of material changes
Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use of the Service.
14.Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in the City of Ottawa.
Before commencing any formal legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
15.General Provisions
- Entire agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and GGHealth regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations upon notice to you.
- Language: These Terms are drafted in English. In the event of any conflict between a translated version and the English version, the English version shall prevail.
